Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and CUPOC, INC ("Company", "we", "our", "us"), governing your access to and use of the Omnid mobile application, web application, and backend services (collectively, the "Service").

By creating an account or accessing the Service, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

You must be at least 13 years of age (or 16 years of age if you are located in the European Economic Area) to use the Service. By using the Service, you represent that you meet this age requirement and that you have the legal capacity to enter into a binding agreement.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete registration information.
• Maintain the security of your account credentials (passkeys, passwords, or other authentication methods).
• Notify us immediately at support@omnid.io of any unauthorized access to your account.
• Take responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being misused.

Omnid is a personal intelligence and identity platform that enables users to manage their digital identity, build connections, store notes and ideas, and access AI-powered features. The Service is provided "as is" and may be updated, modified, or discontinued at any time with reasonable notice.

Certain features may require a paid subscription. We reserve the right to modify features included in any subscription plan with reasonable advance notice.

5.1 Subscription Plans
Some features of the Service require a paid subscription. By subscribing, you authorize us to charge your payment method on a recurring basis (monthly or annual, as selected) until you cancel.

5.2 Payment Processing
Payments are processed by Stripe, Inc., a third-party payment processor. By providing your payment information, you agree to Stripe's Terms of Service and authorize Stripe to process your transactions. We do not store your full card number, CVV, or bank account details on our servers.

5.3 Billing Cycle
Subscriptions are billed in advance at the start of each billing period. Charges are non-refundable except as described in Section 5.5 below or as required by applicable law.

5.4 Price Changes
We may change subscription prices at any time. If we increase the price of your current plan, we will provide at least 30 days' advance notice. Your continued use of the Service after the price change takes effect constitutes your acceptance of the new price.

5.5 Cancellation and Refunds
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period; you will retain access to paid features until that date. We do not issue prorated refunds for unused time in a billing period, except where required by law (e.g., EU consumer rights regulations).

If you believe you have been charged in error, contact us at billing@omnid.io within 30 days of the charge.

5.6 Free Trials
Where we offer a free trial, we will specify the trial period in the relevant offer. At the end of the trial, you will be automatically charged for the selected plan unless you cancel before the trial ends.

5.7 Taxes
Prices listed may not include applicable taxes (VAT, GST, sales tax). You are responsible for any applicable taxes in your jurisdiction, which will be added to your invoice where required.

5.8 Service Delivery
Omnid is a digital software service. Access to paid features is granted immediately upon successful payment confirmation from Stripe. No physical goods are shipped. Because access is delivered instantly upon purchase, by subscribing you expressly acknowledge that digital delivery has occurred at the moment of payment.

5.9 Disputes and Chargebacks
If you have a question or concern about a charge, please contact us at billing@omnid.io or call 302-497-7115 before filing a dispute with your bank or card issuer. We will work to resolve billing issues promptly, typically within 5 business days. Filing a chargeback without first contacting us may result in suspension of your account pending investigation.

Zero Tolerance for Objectionable Content and Abusive Behavior

Omnid has a strict zero-tolerance policy for objectionable content and abusive behavior. We are committed to maintaining a safe, respectful environment for all users. Any content or conduct that we determine to be objectionable, harmful, or abusive is strictly prohibited and will result in immediate action, up to and including permanent account termination.

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights.
• Upload, transmit, or share content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, pornographic, or otherwise objectionable.
• Bully, intimidate, stalk, harass, or abuse any other user.
• Post content that promotes violence, hatred, or discrimination based on race, ethnicity, national origin, religion, gender, gender identity, sexual orientation, disability, or any other protected characteristic.
• Share content that exploits minors or sexualizes individuals without consent.
• Impersonate any person or entity or misrepresent your affiliation with a person or entity.
• Attempt to gain unauthorized access to the Service, other user accounts, or our backend systems.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Scrape, crawl, or extract data from the Service using automated means without our written permission.
• Introduce malware, viruses, or other harmful code into the Service.
• Use AI features to generate content that is discriminatory, deceptive, or violates these Terms.
• Use the Service for spam, phishing, or unsolicited commercial communications.

Violation of this policy may result in immediate suspension or permanent termination of your account, removal of offending content, and referral to law enforcement where applicable.

7.1 Ownership
You retain ownership of any content you create, upload, or share through the Service ("User Content"). You are solely responsible for the accuracy, legality, and appropriateness of your User Content.

7.2 License to Us
By submitting User Content, you grant CUPOC, INC a worldwide, non-exclusive, royalty-free license to store, display, process, and transmit your User Content solely for the purpose of operating and providing the Service. This license ends when you delete the content or close your account (subject to backup and retention periods).

7.3 AI Features
Content you submit to AI-powered features may be processed by third-party AI providers (Grok/xAI, Anthropic Claude, Google Gemini). Do not submit sensitive personal information, confidential business information, or content you are not permitted to share in AI prompts.

7.4 No Tolerance for Objectionable Content
Omnid has a zero-tolerance policy for objectionable content. By accessing any user-generated content features of the Service, you expressly agree that you will not post, share, or distribute any content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable. We reserve the right to remove any content that we determine, in our sole discretion, to be objectionable, and to suspend or permanently terminate the accounts of users who post such content.

7.5 Reporting Objectionable Content
We provide in-app mechanisms for users to flag and report content they believe to be objectionable or in violation of these Terms. To report objectionable content:

• Use the Report option available on any post, profile, or message within the app.
• Alternatively, contact us directly at support@omnid.io with a description of the content and its location in the app.

We review all reports and take appropriate action, typically within 24–48 hours. We will notify reporters of the outcome where reasonably possible.

7.6 Blocking Abusive Users
We provide in-app tools that allow users to protect themselves from abusive behavior:

• Block: Use the Block User option on any user's profile to prevent them from viewing your content or contacting you.
• Mute: Use the Muteoption to hide a user's content from your feed without blocking them.

Blocked users will not be notified of the block. You can manage your blocked users list at any time through your account settings.

7.7 Content Moderation
We employ a combination of automated tools and human review to monitor user-generated content for violations of these Terms. We reserve the right to:

• Remove any content that violates these Terms without notice.
• Suspend or permanently terminate accounts responsible for repeated or severe violations.
• Report illegal content to appropriate law enforcement authorities.

Users whose content is removed or whose accounts are suspended may appeal the decision by contacting support@omnid.io.

The Service, including its software, design, trademarks, and content created by us, is owned by CUPOC, INC and protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or brand elements without our prior written consent.

We welcome feedback and suggestions about the Service. By submitting feedback, you grant us the right to use it without restriction or compensation.

The Service may integrate with or link to third-party services (including AI providers, payment processors, and social platforms). These third-party services are governed by their own terms and privacy policies. We are not responsible for the content, privacy practices, or availability of third-party services.

10.1 No Warranty
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 AI Outputs
AI-generated content is produced automatically and may be inaccurate, incomplete, or inappropriate. We make no representations about the accuracy or reliability of AI outputs. Do not rely on AI outputs for legal, medical, financial, or other professional advice.

10.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CUPOC, INC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $100.

SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

You agree to indemnify, defend, and hold harmless CUPOC, INC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

12.1 By You
You may delete your account and stop using the Service at any time. Account deletion requests can be submitted through the app settings or by emailing support@omnid.io.

12.2 By Us
We may suspend or terminate your account and access to the Service at our discretion, with or without notice, if we believe you have violated these Terms, engaged in fraudulent activity, or if continued access poses a risk to other users or the Service.

12.3 Effect of Termination
Upon termination, your right to use the Service immediately ceases. We will delete your personal data in accordance with our Privacy Policy. Sections 7.2, 8, 10, 11, and 13 survive termination.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any dispute arising from or relating to these Terms or the Service that cannot be resolved informally shall be resolved by binding arbitration administered under the rules of the American Arbitration Association (AAA), on an individual basis. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.

EU/UK Users: If you are located in the European Economic Area or United Kingdom, mandatory consumer protection laws in your country may apply and cannot be waived by contract.

We may update these Terms from time to time. When we make material changes, we will update the "Effective Date" at the top of this page and notify you via email or in-app notification at least 14 days before the changes take effect (or longer where required by law). Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

Entire Agreement: These Terms, together with the Privacy Policy and any additional policies incorporated by reference, constitute the entire agreement between you and CUPOC, INC regarding the Service.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights without restriction.
